IT Service Policy and Terms and Conditions

Disclaimer - Centralized IT Teams (CITTeams)  (the 'Website') is operated by RZTech Solutions  LLC ('Company', 'we', 'us', or 'our'). All references to ' Centralized IT Teams (CITTeams) ' in this document refer to the services provided by RZTech Solutions  LLC, a legally registered business entity. By using this Website, you acknowledge that all transactions, contracts, and legal matters are conducted under RZTech Solutions  LLC.

By engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our services. These Terms outline the responsibilities of both parties, ensuring a transparent and professional working relationship.

1. Scope of Services
> 1.1. Centralized IT Teams (CITTeams- RZTech Solutions LLC) provides IT services, including but not limited to:

  • IT consulting to align technology strategies with business goals.

  • Managed IT services for comprehensive system monitoring, maintenance, and support.

  • Cybersecurity solutions to protect against threats and ensure compliance.

  • Cloud services, including migration, optimization, and management.

  • AI and machine learning integration for process automation and data analysis.

  • Compliance assistance with industry standards such as GDPR, HIPAA, and CCPA.

  • Procurement and vendor management to secure the best technology solutions.

  • Mobile Device Management (MDM) solutions to safeguard and manage devices.

  • Unified Communications and VoIP solutions to streamline communication systems.
     

> 1.2. The specific scope of services will be defined in a Service Level Agreement (SLA) or other written agreement between Centralized IT Teams (CITTeams - RZTech Solutions LLC) and the Client. This document will include detailed deliverables, timelines, and responsibilities.
 

> 1.3. Additional services may be provided upon mutual agreement and may be subject to additional fees.

 

2. Client Responsibilities
> 2.1. Provide accurate and complete information to facilitate the delivery of services, including access credentials, system requirements, and specific business needs.

 

> 2.2. Ensure timely access to systems, facilities, and personnel as required for the provision of services, including designating a point of contact for communication and approvals.
 

> 2.3. Comply with all applicable laws and regulations related to the use of IT services and systems, including adhering to software licensing agreements and intellectual property laws.
 

> 2.4. Maintain a backup of critical data and ensure data recovery measures are in place. Centralized IT Teams (CITTeams - RZTech Solutions LLC) will not be held liable for data loss due to insufficient backup protocols.

 

3. Service Availability and Support
> 3.1. Centralized IT Teams (CITTeams - RZTech Solutions LLC) will provide support during the business hours defined in the SLA. Standard business hours are from [8am to 4pm Eastern Time, U.S.A].

 

> 3.2. Emergency support outside of regular business hours may be provided at additional costs, subject to availability. Emergency cases include critical system failures, cybersecurity breaches, and other urgent issues.
 

> 3.3. Service interruptions due to circumstances beyond our control (e.g., natural disasters, third-party failures, or force majeure events) will not be considered a breach of these Terms. Centralized IT Teams (CITTeams - RZTech Solutions LLC) will make reasonable efforts to resume services promptly.
 

> 3.4. Routine maintenance and system updates may be scheduled periodically and will be communicated in advance to minimize disruption.

 

4. Fees and Payment
> 4.1. Fees for services will be detailed in the SLA or an accompanying agreement, including hourly rates, fixed project fees, or subscription plans.

 

> 4.2. Payments are due as per the invoicing terms specified in the agreement. Late payments may incur additional charges, including interest of [10] % per month on overdue amounts.
 

> 4.3. All fees are exclusive of taxes, which the Client shall be responsible for unless otherwise specified. Tax exemptions, if applicable, must be documented and provided in advance.
 

> 4.4. Refunds for prepaid services will only be issued under specific conditions outlined in the SLA.

 

5. Confidentiality and Data Security
> 5.1. Both parties agree to keep confidential information shared during the engagement secure and not disclose it to unauthorized third parties without prior consent.

 

> 5.2. Centralized IT Teams (CITTeams - RZTech Solutions LLC) implements industry-standard measures, such as encryption, firewalls, and access controls, to secure client data. However, the Company shall not be liable for breaches due to factors beyond its control, such as third-party vulnerabilities or cyberattacks.
 

> 5.3. Clients must notify Centralized IT Teams (CITTeams- RZTech Solutions LLC) immediately in the event of any suspected data breaches or unauthorized access to their systems.

 

6. Intellectual Property
> 6.1. Any proprietary tools, methodologies, or materials used by Centralized IT Teams (CITTeams- RZTech Solutions LLC) remain the property of the Company and may not be reproduced or distributed without explicit permission.

 

> 6.2. Deliverables created specifically for the Client, such as custom software, reports, or configurations, will become the Client’s property upon full payment unless otherwise agreed in writing. Centralized IT Teams (CITTeams - RZTech Solutions LLC) retains the right to use general knowledge and expertise gained during the engagement.
 

> 6.3. Any third-party software or tools provided as part of the service are subject to their respective licensing terms.

 

7. Termination
> 7.1. Either party may terminate the agreement with 30 days’ written notice, specifying the reason for termination and any pending obligations.

 

> 7.2. Centralized IT Teams (CITTeams- RZTech Solutions LLC) may terminate the agreement immediately if the Client breaches these Terms, fails to make payments, or engages in unethical or illegal activities.
 

> 7.3. Upon termination, the Client will be invoiced for services rendered up to the termination date. Access to any proprietary tools or systems provided by Centralized IT Teams (CITTeams - RZTech Solutions LLC) will be revoked unless otherwise agreed.
 

> 7.4. Both parties must return or destroy any confidential information obtained during the engagement.

 

8. Limitation of Liability
> 8.1. Centralized IT Teams (CITTeams - RZTech Solutions LLC) will not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from the use of its services.

 

> 8.2. Our total liability for any claim arising under these Terms shall not exceed the fees paid by the Client for the specific service giving rise to the claim. This limitation applies to all claims, including negligence and breach of contract.
 

> 8.3. The Client agrees that any claim must be raised within [Insert Timeframe, e.g., six months] from the occurrence of the event giving rise to the claim.

 

9. Indemnification The Client agrees to indemnify and hold harmless Centralized IT Teams (CITTeams- RZTech Solutions LLC) , its affiliates, and employees from any claims, liabilities, damages, or expenses arising from the Client’s misuse of services, violation of applicable laws, or breach of these Terms.

 

10. Governing Law These Terms are governed by the laws of the State of Virginia. Any disputes shall be resolved in the courts of Virginia. Both parties agree to first attempt mediation before pursuing legal action.

 

11. Amendments Centralized IT Teams (CITTeams- RZTech Solutions LLC) reserves the right to update these Terms. Clients will be notified of significant changes via email or official communication channels. Clients are encouraged to review the Terms periodically to stay informed of updates.
